At Vince, we are dedicated to enhancing the world of ERP by delivering innovative, user-focused solutions that improve the Infor M3 experience. Founded in 2010 by a team of consultants with deep expertise in Infor and Lawson, Vince was built on the principles of collaboration, integrity, and a relentless commitment to our clients. Our journey from a small group of six partners to an international team spanning multiple countries has been driven by these core values.

This Code of Conduct establishes the fundamental principles that guide our operations and behaviors as a company. It is designed to ensure that all Vince employees, as well as our suppliers, partners, and subcontractors, adhere to the highest standards of ethical conduct. We expect all parties associated with Vince to embrace these principles in their work on behalf of the company.

Our Code of Conduct serves as a framework for how we interact with our customers, business partners, investors, and other stakeholders. It reflects our commitment to operating with integrity, respect, and a focus on delivering value in every aspect of our business.

To maintain the relevance and effectiveness of this Code, it is reviewed regularly and updated in accordance with the latest ethical and regulatory standards. Vince also provides ongoing training for all employees to ensure they fully understand and can apply the principles outlined in this document. We encourage employees to seek guidance from their managers whenever they face uncertainty in making the right decisions.

This Code of Conduct is designed to provide clear guidelines on how we, as members of the Vince team, should behave and make decisions that reflect our values. By adhering to this Code, we ensure a positive, productive, and ethical workplace for everyone.

3 - Workplace environment

 

3.1   Human Rights

Vince is fully dedicated to upholding and advancing human rights, refusing to accept or engage in any practices that violate these rights. The company ensures that employment decisions are made based on the principle of equal opportunity, with no discrimination based on race, gender, religion, political beliefs, disability, sexual orientation, gender identity, social status, age, or any other legally protected characteristic. Vince strictly prohibits any form of servitude, child labor, forced labor, human trafficking, or slavery across all its operations, regardless of location. The company adheres to the International Labor Organization's Declaration on Fundamental Principles and Rights at Work, as well as the International Bill of Human Rights.

4 - Business practices

 

4.1   Compliance with Laws and Regulations

Vince is committed to full compliance with all applicable laws, rules and regulations in all locations where Vince operates. Vince also follows practices related to good corporate governance. If applicable laws and regulations are more permissive than this Code of Conduct, Vince complies with this Code of Conduct. If applicable laws and regulations are more restrictive, we comply with the legal requirements. In addition, Vince always acts in accordance with the highest standards of business ethics.

 

4.2 Import, Export and Trade Compliance Rules

As a global company, Vince exports its services across national borders. Our business transactions can be subject to various trade controls and laws that regulate export and import. We are committed to complying with the laws that govern global trade of our services.

 

4.3 Antitrust and Competition Laws

Vince complies with all applicable competition laws in in all locations where Vince operates.

Vince promotes free and open competition and does not engage in practices that have the objective or effect of restricting or distorting competition.

 

4.4 Anti-Bribery and Corruption

In line with Vince’s commitment to conducting business with honesty and integrity, the company maintains a zero-tolerance policy toward bribery and corruption, strictly adhering to all relevant laws in every jurisdiction where it operates. Vince has established a separate Anti-Bribery and Corruption Policy that outlines the responsibilities of all employees in upholding the company's stance on these issues, complementing the Code of Conduct. This policy provides clear guidance on identifying prohibited activities, such as offering or accepting bribes, bribing public officials, making or receiving facilitation payments or kickbacks, and engaging in inappropriate client entertainment, gifts, or hospitality practices. that outlines the responsibilities of all employees in upholding the company's stance on these issues, complementing the Code of Conduct. 4.5 Anti-Money Laundering

Vince adheres to all laws regarding money laundering and the prohibition of financing illegal or illegitimate activities. "Money laundering" refers to the process by which individuals or groups attempt to hide the proceeds of illegal activities or make the origins of their illicit funds appear legitimate.

 

4.6 Political Involvement

Vince remains neutral in political matters and does not provide financial or other support to individual politicians, candidates, political parties, or related institutions. The Vince name, logo, and any company resources must not be used to promote the interests of any political parties or candidates.

 

4.7  Conflicts of Interest

Vince employees must avoid any activities that could result in a conflict of interest. Participation in any relationship, situation, or arrangement that conflicts with Vince's interests or compromises the ability to ethically meet contractual obligations to the company is strictly prohibited.

 

4.8 Environmental Responsibility

At Vince, we are committed to minimizing the environmental impact of our operations globally. We strive to cultivate environmental awareness and responsibility among our employees, customers, and suppliers.

Vince adheres to all relevant environmental regulations and expects the same commitment from our suppliers and partners. We adopt a precautionary approach to environmental challenges by promoting greater environmental responsibility and encouraging the development, use, and spread of sustainable technologies and solutions, such as electronic invoicing. We are dedicated to maintaining open and transparent communication about our environmental performance.

 

4.9 Protection of all business assets, including information, technology, and facilities

Vince’s intellectual property is a vital asset that must be safeguarded at all times. This includes our brand, trademarks, package designs, logos, copyrights, inventions, patents, and trade secrets. We ensure that our proprietary information is securely protected and that the confidentiality of our customers' and partners' information is maintained, with no improper disclosure.

Data privacy is of paramount importance to Vince. We handle all personal data—information about identified or identifiable individuals—with the utmost care and in compliance with applicable data protection laws. Our commitment to data protection and privacy is integral to our operations; we collect and use employee personal information solely for fulfilling employment contracts. Vince is committed to adhering to applicable accounting principles and standards, ensuring that financial information is reported accurately and comprehensively. We maintain robust internal controls and processes to ensure that both financial and non-financial reporting comply with legal requirements.

 

5 - Raising Concerns

 

Any violation of the principles outlined in this Code of Conduct should be reported to Vince immediately. Reports can be made to your line manager or to HR.

Vince employees may also report any violation or suspected violation of this Code of Conduct through the HR system, where you can register unwanted incidents or concerns. The identity of the person making the report will be kept confidential and will be known only to those who need to be involved to ensure that the matter is handled appropriately. It is also possible to make the report anonymously.

Any Vince employee who makes a report in good faith is protected from any form of retaliation, including dismissal or other forms of reprisal. To prevent issues from escalating to a point where they become serious concerns, Vince emphasizes the importance of communicating the company`s values, rules, and regulations regarding ethical conduct and encourages open communication within the organization.
